Terms of Service

1. Acceptance of Terms
By creating an account or using PlanAligned ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms apply to all users, including account administrators, editors, approvers, contributors, and viewers.
2. Description of Service
PlanAligned is a SaaS strategic planning application that helps organizations connect goals to daily execution through a structured GOST hierarchy (Goals, Objectives, Strategic Initiatives, Tactics). The Service includes plan management, role-based access control, approval workflows, audit logging, and team collaboration tools.
3. Accounts and Companies
Each PlanAligned account is associated with a company workspace. By default, all data you create is scoped to your company and is not accessible to other organizations on the platform. Plan administrators may explicitly invite users from external organizations to collaborate on specific plans; those guests will have access to the plans they are invited to and no other data within your workspace. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us promptly if you suspect unauthorized access.
4. User Roles and Access
PlanAligned uses a five-role access model: Admin, Editor, Approver, Contributor, and Viewer. Account administrators are responsible for assigning roles appropriately and ensuring that access is granted only to authorized individuals within their organization. We are not responsible for actions taken by users you have invited or granted access to.
5. Subscriptions and Billing
Paid subscriptions are processed through Paddle, our payment processor and Merchant of Record. Paddle handles all billing, VAT, and tax obligations globally. Subscriptions renew automatically at the end of each billing period. You can cancel at any time through your account settings. We reserve the right to change pricing with at least 30 days notice to active subscribers.
6. Free Trial
PlanAligned offers a free trial period for new accounts. A valid payment method is required to start a trial. At the end of the trial period, your payment method will be charged automatically for the plan you selected, unless you cancel before the trial ends. We reserve the right to modify trial terms or duration at any time.
7. Prohibited Use
You may not use the Service to store or transmit unlawful, harmful, or fraudulent content; attempt to gain unauthorized access to any part of the Service or another organization's data; reverse engineer or attempt to extract the source code of the Service; resell or sublicense access to the Service without written permission; or use automated means to access or interact with the Service in ways not expressly permitted.
8. Intellectual Property
PlanAligned and its underlying software, design, and branding are the property of Harbor Oak Holdings LLC. Your organization retains ownership of all content and planning data you create within the Service. By using the Service, you grant us a limited license to store and process your data solely to provide and improve the Service.
9. Data and Privacy
Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Your company's planning data is isolated from other organizations and is not used to train models or shared with third parties except as described in the Privacy Policy.
10. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities. Use of the Service is at your own risk.
11. Limitation of Liability
To the fullest extent permitted by law, Harbor Oak Holdings LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Service, including loss of data or business interruption, even if we have been advised of the possibility of such damages.
12. Termination
You may cancel your subscription and close your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms. Upon termination, your data will be retained for 30 days before permanent deletion, during which time you may request an export.
13. Changes to Terms
We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
